经甲、乙双方友好协商,特订立本协议书,以使甲、乙双方共同遵守。乙方负责介绍甲方的直升机给第三方客户,并协调甲方与第三方客户签订购买直升飞机合约。

本协议书的佣金,按照以下三种情况核算:

1、 如果乙方仅将潜在的第三方购买直升飞机客户介绍给甲方,而由甲方的人员全程跟踪购买直升机客户,并最终促成购买直升飞机客户与甲方签订购买直升飞机合同,则甲方向乙方支付相应的佣金,以感谢乙方将购买直升机客户介绍给甲方。

佣金的支付款额为:每架购买直升飞机佣金为,五百美元=USD500;或者,
每架购买直升机佣金为,壹仟美元=USD1,000;或者,
每架购买直升飞机佣金为壹仟五百美元=USD1,500。
2、 如果乙方按照甲方给出的直升飞机报价与客户成交,且在直升机成交过程中,甲方没有参与其中任何的直升飞机销售环节,则甲方将为乙方支付( )作为佣金(直升机的配置和直升飞机销售价格,视具体情况定)。
3、 如果乙方以高于甲方的直升飞机报价和客户成交直升机,那么考虑到直升飞机市场价格的平衡问题,此种情况乙方须提前通知甲方,以便双方确定乙方的直升机销售价格是否合理。(购买)直升飞机(销售)的价格和佣金,均在双方友好协商后确定。

本协议书为甲、乙双方间的合作双赢协议,至签订之日起生效。

佣金支付:客户在与甲方签订了购买直升飞机合同,并向甲方支付了第二笔付款后的20天内,甲方将以电汇的方式,向乙方指定的美元账户内,支付相应的佣金作为酬劳。

如果乙方未能促成甲方与第三方购买直升飞机客户之间的合同签订,则不得要求甲方支付佣金和任何出差费用。

甲方承诺在与乙方推荐的购买直升机客户交易成功后,向乙方支付相应的佣金,若甲方在与乙方推荐的购买直升机客户交易成功,未向乙方支付佣金,甲方将以两倍赔偿乙方经济损失。

此协议书为商业秘密, 甲方和乙方不得向第三方披露此协议书以及相关内容。

本协议一式贰份,甲、乙双方各执壹份,经双方签字,盖章确认后生效,传真件具有同等法律效力。

The A, B and the two sides through friendly consultations, conclude this agreement, so that A, B mutual respect. Party B is responsible for introducing the helicopter to a third party customers, and to coordinate the Party entered into with a third party customer contracts to buy helicopters.

3, if Party B higher than the offer of helicopters and helicopter customer transactions, then the helicopter market prices taking into account the balance, such a case Party B shall notify Party A in advance in order to determine both the helicopter B selling price is reasonable. (Buy) helicopter (sales) price and commissions are established in the bilateral friendly consultations.

The agreement for the A, B win-win co-operation agreement between the parties, to the date of signing.

Commission payments: customers and the Party entered into a contract to purchase helicopters to the party pays the second payment within 20 days, Party A will wire transfer to the account designated by Party of the U.S. dollar, to pay corresponding commission as a reward.

If Party B has failed to help customers with third-party contracts to buy helicopters signed, Party A shall not be required to pay any travel commissions and fees.

Party A and Party B committed to purchase helicopters recommended after the success of customer transactions, shall pay the appropriate commission, if Party A and Party B to purchase helicopters recommended successful customer transactions, not to pay commission to the B, Party A will B double compensation for economic losses.

This Agreement is a trade secret, Party A and Party B shall not disclose to third parties to this Agreement and related content.

This Agreement II copies A, B sides split on hold one, signed by both parties, sealed into force when confirmed, facsimile has the same legal effect.
